Use of the Services

These limitations of liability apply even if Trackbes Technology has been advised of the possibility of such damages, and they represent the full extent of Trackbes Technology's liability to you for any claim related to the Services.
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. You agree that any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in San Francisco County, California, and you hereby consent to and waive any objection to the jurisdiction and venue of such courts.
You agree that any claim or cause of action arising out of or related to the use of the Services or this Agreement must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.
If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement shall continue in effect.
This Agreement constitutes the entire agreement between you and Trackbes Technology regarding the use of the Services and supersedes all prior agreements or understandings, whether written or oral, regarding the subject matter of this Agreement.

If any provision of this Agreement is found to be invalid or unenforceable by a court or other authority with competent jurisdiction, such provision shall be deemed to be stricken from this Agreement. The remaining provisions of this Agreement shall remain in full force and effect, and shall be construed as if the stricken provision had never been a part of this Agreement.
In the event that any provision is held to be invalid or unenforceable, the parties shall work together in good faith to modify this Agreement to achieve, to the extent possible, the same economic and legal effect as the stricken provision without including any part that has been found to be unenforceable.
The failure of either party to enforce any provision of this Agreement shall not be deemed a waiver of that provision or any other provision of this Agreement.
